(NASDAQ: AGMH, the “AGM Group” or the “Company”) today plans to commercialize the DePIN desktop node it is jointly developing with HashBeaver. Based on the previously disclosed trial production phase, the company intends to enhance preparations for volume production, develop sales channels and evaluate the integration of AI services. These efforts aim to generate additional revenue from hardware sales through product deliveries while exploring recurring revenue opportunities from contract management and AI services.

The company announced the joint development project with HashBeaver and revealed that the product has entered the beta production phase. Designed for homes, offices, and developers, the node uses an application-specific integrated circuit (“ASIC”) to perform SHA-256 hashes for Bitcoin mining. Planned features include connectivity to decentralized physical infrastructure networks (“DePIN”) and AI-assisted device management.

Preparing for production and sales in large quantities

AGM Group intends to apply systems engineering, manufacturing quality management, and supply chain orchestration capabilities to advance product testing, obtain applicable certifications, and prepare for high-volume manufacturing with HashBeaver. The parties plan to evaluate direct sales through official websites, regional distribution and wholesale purchases by partners as part of a phased market launch where permitted by applicable law.

Once the product is ready for delivery and the relevant commercial arrangements are in place, AGM intends to generate revenues from the supply of hardware, systems integration and agreed technical support services. The company plans to align production and inventory batches with confirmed orders and sales channel performance, while expanding delivery based on actual customer demand.

The company believes that Desktop Node can expand its hardware business to include individual users and small enterprises, adding a new product category to its offerings. As commercial deliveries begin and sales continue to grow, the business can contribute to increased revenues. The Company intends to monitor delivery volumes, realized selling prices, unit manufacturing costs and after-sales expenses to support the commercial sustainability of the product.

Evaluation of AI management and cloud services

The product’s planned AI capabilities will focus on device operations, including recommendations based on temperature, power consumption, network conditions, anomaly detection, and assistance with managing multiple devices. These functions are intended to reduce the configuration and maintenance workload for users and improve the device experience.

In subsequent software releases, the two parties intend to evaluate AI operations assistants and AI agent capabilities that would allow users to query device status, interpret alerts, and obtain operating recommendations through natural language interactions. Device configuration procedures will be performed within the scope authorized by the user. These capabilities remain subject to product development, testing, and validation.

The two parties also intend to evaluate integration with HashBeaver’s planned AI computing services and intelligent routing platform, allowing users to access cloud-based AI models and related services through accompanying software. This approach could enable existing device users to access AI services after the initial sale of devices, creating potential additional business opportunities.

The local computing capacity of the first generation ASIC node is dedicated to mining SHA-256 Bitcoin and does not perform general-purpose AI model training or inference. The planned AI model services will be provided through the integrated cloud computing infrastructure separately.

Explore recurring service revenue

The supply and delivery of hardware are the intended primary revenue sources for the project. As device deployments and active users increase, the two parties plan to evaluate management subscriptions for users running multiple devices, remote operations, maintenance services, and value-added technical support. They also intend to explore usage-based pricing for cloud AI services.

Once these services are developed and ready for commercialization, the customer base created through device sales can support subsequent service revenues and increase the lifetime value of the customer over the life of the device. Any financial contribution to the AGM from these services will depend on the service responsibilities, pricing and revenue sharing arrangements ultimately agreed upon between the parties.

The AGM will recognize the relevant revenue based on actual contracts and the fulfillment of applicable performance obligations. The production of inventory, expressions of interest through sales channels, and growth in platform users do not in themselves constitute recognized revenue.
